Provided client tax services primarily in the area of high net worth or
complex tax issues, including research and review of returns for technical
and preparation issues prepared by staff, managers and partners, in the
individual, partnership, S-Corp, C-Corp, estate, and gift tax areas.
Additional responsibilities included mentoring and training staff, reading
and reviewing contractual agreements, wills, trusts, and other
documentation to determine tax issues that may have existed, provide
alternative language, changes to the structure of a deal, and
interpretation of the documents for staff, managers, partners, and clients.
> Researched and implemented a strategy to reduce a potential $5.5
million tax liability, due to a LIFO adjustment, into an operating
loss that was carried back 5 years resulting in recouped taxes, and
meeting all required loan covenants.
> Review and provide solutions for substandard compliance and technical
tax work for new clients prepared by predecessor CPA firms. The work
included tax research, identification of issues and potential
solutions, oversight of total reconstruction of tax documentation and
accurate tax returns.

liability through the use of engagement letters, disclosure letters,

> Initially retained for tax season to prepare the most difficult
individual tax returns and review individual returns prepared by staff
and partners. This was quickly expanded to include the review of S-
Corp, C-Corp, partnership, trust, gift, and estate returns and
providing technical and compliance training to staff based upon the
review of their work.
> The responsibilities grew to include review of legal documents
including trusts, wills, mergers, etc. to provide instruction on the
tax consequences and compliance issues and became the point person for

The firm was founded as a traditional CPA firm in 1978 to provide
compilation, review, and audited financial statements, tax compliance and
research, and consulting services. The firm primary focus was extensive
tax planning, compliance, special tax consulting, and the implementation of
tax policy for a matrix of individuals, corporations, pass thru entities,
trusts, and estates. Software used includes Creative Solutions, ProSystem
fx, Ultra Tax, Go Tax, and other software for tax gift and estate tax
planning.
Providing consulting services to other CPAs, law firms, and financial
service firms that included reviewed and critiqued corporate, pass thru
entities, trust, estate, and gift tax returns prepared by staff, managers,
and partners for technical issues, compliance, and accuracy. Services
performed included the training and mentoring of junior and senior staff,
and non-tax partners in: individual, corporate, pass thru, trust, and
estate tax return preparation, compliance, and tax law. A representative

> Tax controversy representation of: individuals, corporations, pass-
thru entities, estates, and trusts before the IRS, state and local

$6 million dollar equity commitment from venture capital firm:
commitment used to obtain $16.8 million debt financing with highly
favorable terms and removal of the venture capital firm.
> Consulted as turnaround manager for companies engaged in construction,
apparel design and manufacturing, consumer retail, and wholesale
distressed family owned businesses requiring financial and corporate
restructuring to remain competitive and avoid bankruptcy. Financial
services including strategic planning, cash control, strategies to
achieve rapid cash turnaround, financial projections, financial
analysis, profitability analysis, and negotiating with outside
financial institutions.
> Restructured real estate transaction resulting in $9 million tax
savings and deferral of remaining tax consequences over a three-year
period.
> Developed industrial inventory system for production parts in a
manufacturing facility for Fortune 10 Company, resulting in reduced
down time, reduction in inventory and direct costs.
> Representation of group medical practices and individual practitioners
in the financial and contractual negotiations with regard to the
formation of larger group practices, sale of practices, and
affiliation with hospitals.
> Consultant to a partner at a large regional law firm that was on the
verge of collapse and developed a comprehensive plan to save the firm.
The partner implemented 95 percent of the recommended changes. It is
now an strong international firm.
