Initially recruited to implement a systems conversion for this $300 million

national union contractor with over 1,500 employees. Quickly promoted

through the finance department as a result of significant contributions

including the establishment of stronger financial reporting, enhanced

internal controls, and more efficient administrative processes. Took the

company private in a management buyout from its publicly held US parent.

Key contributions:

o Manage 10 direct reports, responsible for the budgets, financial

statements, forecasts, treasury management and board reporting for 20

cost centers across Canada.

o Finance lead for the $42 million management buyout of the business from

EMCOR Group Inc. (NYSE: EME), negotiating a $26 million credit facility

and $75 million surety facility.

o Renegotiated the bank facility from $26 million to $40 million at

favorable terms. Negotiated a $5 million letter of credit facility with

Export Development Canada to improve working capital.

o Implemented a fully integrated ERP system, and centralized all finance

and procurement functions, resulting in cost savings of $3 million

annually.

o Redesigned the financial reporting cycle to provide more relevant

information for management, reducing month end reporting time from 14

days to 5 days.

o Streamlined the job cost reporting system to improve the timeliness and

accuracy of reporting, improving billings to clients and operating cash

flow by $10 million.

o Mentored the credit and collection team to reduce receivables days

outstanding by 21 days.

o Performed a comprehensive financial and organizational review of overhead

costs, resulting in annual operating savings of $4 million.

o Conducted an internal review of commodity tax exposure, recovering $2

million in GST, PST, WSIB and apprentice tax credits.

o Developed internal control procedures related to procurement,

disbursements, and cash management to ensure potential risks are

identified and mitigated.

o Designed and implemented an activity based cost system to accurately

track and allocate corporate overhead to each operating division.

o Documented finance and administrative procedures, and consolidated them

into a company policy and procedure manual.

o Implemented a six month cash flow forecast program to assist in treasury

Managed the complete accounting system of this $70 million Ontario based

construction and manufacturing division with 300 unionized employees.

Revenue growth nearly doubled during my tenure. Key contributions:

o Prepared budgets, financial statements, operating forecasts, cash flow

projections, and annual reports for 11 cost centers with oversight of 6

direct reports

o Responsible for treasury functions including full bank signing authority,

credit review and granting, lease financing, arrangement of letters of

credit, and foreign exchange hedging.

o Coordinated the annual audit, reviewed all audit working papers, and

acted as a liaison between our auditors, management, and our lending

institution.

o Ensured adequate bonding, insurance and other risk management policies

were maintained.

o Responsible for tax issues including PST refund claims, PST exemption

determinations, and SR&ED claims.

o Implemented process improvements in the areas of contract review,

procurement, accounts receivable, job forecasting, and taxable benefits.

o Senior member of the JD Edwards implementation team, responsible for the

design, testing and implementation of the general ledger, job costing,

accounts receivable and foreign exchange modules.

o Developed job cost training manuals, job forecasting reports, and

instructed job cost training seminars.

o Actively involved with construction liens, trust provisions of the

Construction Lien Act, construction claims, and small claims court.

E.S. Fox Limited - Niagara Falls, Ontario

1996 - 1998 Staff Accountant

Recruited to assist the controller in maintaining the financial records of

a construction and manufacturing company with revenues of $120 million and

500 unionized employees in Ontario, including preparation and analysis of

monthly financial statements and job cost reports. Key contributions:

o Responsible for billing of lump sum contracts, cost plus contracts, and

time & material based jobs.

o Administered the financial accounting system of a related construction

company with revenues of $12 million, ensured internal control procedures

were operating effectively, coordinated the annual and interim audits,

ensured compliance with bank covenants, and supervised accounting staff.

o Established a database to control all imports and ensure compliance with

NAFTA Rules of Origin and Canada Customs' Duty Deferral Program.

o Participated in the development, implementation, and testing of a new

integrated management information system to ensure Year 2000 compliance.
