POSITION SUMMARY
The Paralegal will be part of the Legal Services Department at Atlas Healthcare Partners and will assist with performing and outsourcing all legal services pursuant to the Atlas management agreements with the Ambulatory Surgery Centers we manage. The Paralegal will be responsible for gathering, preparing and summarizing relevant materials for use by the Director of Legal Services, and other legal counsel. The Paralegal will lead tactical legal initiatives maintaining contracts and files in the Company’s contract management system, perform legal research, and track projects. In addition, the Paralegal will be responsible for reviewing and drafting agreements and contracts, participate in the development of policies and procedures for the Legal Department, assist with transaction closings, maintain corporate records, prepare data and reports for executive or board level meetings, assist with managing and ensuring compliance of the Atlas in general along with other duties as assigned.
ESSENTIAL FUNCTIONS
Prepare and review confidentiality agreements with attorney supervision
Partner with attorney(s) on investigating and resolving various company matters or disputes
Assist in preparing legal documents such as contracts and agreements
Review and maintain all agreements entered by the company
Assist with corporate governance matters including record keeping and maintenance for all related filings
Provide legal administrative support to the Director of Legal Services, and various departments within the Company
Participate in the definition and development of corporate policies, procedures, programs, and provide continuing counsel and guidance on all legal matters
Interfaces with Atlas Team members in all Departments, as well as with outside counsel, vendors, and employees of Atlas’ partners
Forming, maintaining and dissolving different types of business entities, to include organizational documents, articles of organization, schedules of owners and ownership interests in the Surgery Center syndications
Assisting with mergers, acquisitions, and development of new business through Atlas partners
Preparing templated documents in all areas of law involved in the business
Responding to requests for information, records, or other documents from within or outside of the organization
Assist with all transactions and maintenance of corporate records
Conduct legal research and drafting as requested
Maintain and update legal calendar and related databases
Successfully complete special projects and other assignments as requested.

MINIMUM QUALIFICATIONS
Requires an Associate’s degree in paralegal studies or combination of equivalent experience and education.
Requires a level of knowledge and ability normally demonstrated by at least five years’ experience in a corporate legal department or law firm.
Requires excellent communication and organization skills.
Proficient knowledge with Microsoft application such as Word, Excel, PowerPoint, and SharePoint are required.
PREFERRED QUALIFICATIONS
Bachelor’s degree and Paralegal Certification are preferred.
